Corporate Governance

How a Japan LLC structures lawful, accountable decision-making at our current scale.

Red Ark Laboratories LLC (レッドアークラボラトリーズ合同会社) is a Japan-registered godo kaisha (limited liability company). This page describes our governance principles for international readers. It is not a securities filing and does not claim listed-company governance structures.

Principles

We aim to run a responsible business for customers, partners, employees, and the communities we serve. Our baseline expectations are:

  • Comply with applicable laws and contracts; operate cleanly and lawfully
  • Keep material decisions documented and explainable to those who need to know
  • Treat privacy, communications confidentiality, intellectual property, and security obligations seriously
  • Raise policies, controls, and disclosure as the company grows

Entity Form & Decision-Making

As a Japanese godo kaisha (LLC), management is centered on the representative member / CEO (Shuhei Nojima), with execution and oversight integrated at our current size. We do not maintain a board of outside directors, audit committees, or other structures typical of publicly listed companies.

If capital structure, headcount, or regulatory expectations change, we will consider additional oversight mechanisms appropriate to a growing LLC.

Fair Dealing & Conflicts

We do not solicit improper benefits from partners and do not engage in private deals that harm the company. Where a conflict of interest may arise, we expect disclosure, documentation, and an appropriate decision path.
